1. Informational Purpose

This Site is published for general information only. Its purpose is to describe an investment opportunity in Software for Humanity Ltd (the "Company"), a company incorporated in the Republic of Mauritius, and the related Mauritius Occupation Permit (Investor Category) administered by the Economic Development Board of Mauritius ("EDB").

The terms of any investment are set out exclusively in an individually negotiated Subscription Agreement between the Company and the investor. In the event of any inconsistency between the contents of this Site and the Subscription Agreement, the Subscription Agreement prevails.

2. Not an Offer of Securities

Nothing on this Site constitutes an offer of securities, an invitation to subscribe for or purchase securities, or a solicitation to enter into any investment transaction in any jurisdiction in which such an offer, invitation or solicitation would be unlawful or require registration.

Participation in the Company is offered, where applicable, on a private and restricted basis to persons who satisfy the suitability and eligibility requirements set out in the relevant transaction documents.

  • understand the specific risks of holding a minority interest in a private, unlisted company.

5. Risk Warning

Investments in the equity of private, unlisted companies are speculative and involve a high degree of risk, including:

  1. Risk of total loss. Equity in a private company is not a deposit. The investment is not insured by any governmental or non-governmental guarantee scheme.
  2. Illiquidity. Shares in a private company are not traded on any exchange. Disposal may take a substantial period of time or may not be possible at an acceptable price.
  3. Dilution. Notwithstanding contractual protections, the investor's stake may be diluted in subsequent financing rounds.
  4. Regulatory risk. The terms of the Mauritius Occupation Permit (Investor) programme are set by the Economic Development Board of Mauritius and may be amended unilaterally. The grant, renewal, suspension or revocation of any permit is at the discretion of the competent authority and is not within the control of the Company.
  5. Tax risk. The tax regime of Mauritius and of other relevant jurisdictions may change. Tax consequences for any individual investor depend on their personal circumstances and tax residence and must be assessed independently.
  6. Currency risk. Exchange rates between USD, MUR and other relevant currencies are subject to fluctuation.
  7. Operational and market risk. The Company's business is exposed to market conditions, competition, user behaviour, regulatory decisions and other factors that are not fully within its control.
  8. Geopolitical risk. Changes in the international environment, sanctions regimes, currency-control or migration policy may materially affect the feasibility of the transaction or of the residence status sought.

You are strongly encouraged to review the full transaction documentation, conduct independent due diligence and consult independent legal, tax and immigration advisers before making any decision.

6. Mauritius Occupation Permit

The Mauritius Occupation Permit (Investor Category) is issued by the Economic Development Board of Mauritius under the laws of the Republic of Mauritius. The Company is not a public authority and does not decide on the issuance, renewal, suspension or revocation of any permit. The Company's role in connection with the programme is limited to:

The final decision on the issuance, renewal, suspension or revocation of an Investor Permit or of Permanent Residence rests with the competent authorities of the Republic of Mauritius, in their discretion and in accordance with applicable law, migration policy and the individual circumstances of the applicant. The Company does not guarantee the grant of any permit and is not liable for the decisions of the competent authorities.
